Minimum Multiple:
The Borrower shall pay a preferred amount payable to the Lender upon the occurrence of a repayment, prepayment, refinance, sale (whether by way of an asset sale, share sale, partnership interest sale or any other disposal) or default of the Loan (or relevant underling property or entity) or part thereof and calculated to ensure the Lender receives a return multiple of 1.2x on the initial Facility Amount (together with any Further Advances made).
