Say the original wording of the Articles of Association provided for a reporting threshold of DM 10 million - at the official conversion rate of 1.95583, this would have been changed to EUR 5,112,918.81. Looks like the Management Board resolution rounded this uneven amount to EUR 5 million, i.e. effected a 2:1 conversion instead of 1.95583:1 by virtue of the law.
