English to Russian Law/Patents Law (general)

If the Vendor fails to comply with Article 41.1, the Company may:
41.2.1 receive and give a good discharge for the purchase money on behalf of the Vendor,
41.2.2 authorise any Director to execute transfers of the Sale Shares in favour of the purchasers, and
41.2.3 (subject to stamping) enter the names of the purchasers in the register of members as the Holder of such of the Sale Shares as shall have been transferred to them.
