(i) whether the executed Transaction Documents which are all governed by English law, include any provisions which may be unenforceable under the laws of Cyprus, identifying in this manner any possible legal risks which such unenforceability may bear and providing to this end, relevant suggestions as to mitigating such risks;


(ii) whether through the Corporate Documents (as identified in Section B below) and the other documents examined of the Company (as identified in Section C below) and the resolutions issued by the Company, the Company has the corporate capacity and authority to enter into the Transaction Documents and perform its obligations under the Transaction Documents.

For the purpose of giving this opinion, we have examined and relied on the following documents and information:
A. Transaction Documents
(a) Draft of the Investment Agreement dated 03/06/2014 (the “Investment Agreement”);
(b) Draft of the Shareholders’ Agreement dated 03/06/2014 (the “Shareholders’ Agreement”);
(c) Draft of the Deed of Novation and Amendment dated …./10/2014 (the “Novation Agreement”).
