DISCIPLINARY REVIEW

Upon completion of the investigation of a Covered Matter deemed to be significant
and/or potentially requiring disciplinary action, any of Human Resources, Compliance,
Legal or Labor Relations shall be responsible for facilitating a disciplinary review. Any
such disciplinary review must involve:

At least two representatives from other independent control functions, with
appropriate subject matter expertise, such as Legal and Compliance.2

One or more business representatives at least two levels above the employee(s)
being considered for discipline.3
Collectively, all functional reviewer(s) and business reviewer(s) shall hereinafter be
referred to as “Reviewers” (“Reviewer(s)”).
