2.4.5 Since the representations and guaranties were, as described above, a very fundamental part of the Agreement and fulfilment of them was in fact a condition to the purchase price becoming due and the transaction being pursued (see Articles 3 to 5 of the Agreement), this statement was indeed entirely fundamental. AAA's claim could clearly not be awarded, BBB believed, as he claimed a purchase price that could never have become due now that AAA himself alleged he had not bound himself to the representations and guaranties and thus a fundamental condition to the entire transaction was not met. Since AAA claimed a price for a sale that was conditional, and AAA alleged the condition had simply not been met, his claim had to be dismissed.
