NOTWITHSTANDING CLAUSE

Notwithstanding anything to the contrary herein, nothing in this Agreement is intended, and nothing herein should be interpreted or construed, to induce or require either Party hereto to act or refrain from acting (or agreeing to act or refrain) in any manner which, in the reasonable judgment of such Party, is inconsistent with, penalized under or prohibited by any official government rules or requirements applicable to such Party, including but not limited to such rules or requirements that relate to foreign trade controls, export controls, embargoes or international boycotts of any type. Each Party expressly represents to the best of their knowledge that in connection with this Agreement it presently does, and will at all times going forward, comply with any and all laws applicable to it. In the event of a party’s failure to comply with any applicable laws in connection with this Agreement, the other Party may elect to terminate the Agreement.
