Wiem, że to pełnomocnictwo. Nie wiem tylko, dlaczego w dokumencie rozróżnia się POA i Power of Attorney w sposób wskazany poniżej:

In this respect, the managers of the Company confirm that they have carefully reviewed
the drafts (i) of the resolutions to be taken at the Extraordinary General Meeting, (ii) of the
Set-Off Agreement and (iii) of the power of attorney to be executed by the Company in
connection with the Power of Attorney (the “POA”) which were provided to them.

Capital, the New Shares, the Subscription, the Subscription Price, the Contribution, the

Nie za bardzo rozumiem, tekst wytłuszczony ma być tłumaczony dwa razy jako pełnomocnictwo?

Chętnie dałbym punkty Panu Andrzejowi Mierzejewskiemu - znajomość skrótu zaznaczyłem sam w pytaniu. Problem polegał tylko na wyjaśnieniu jego nietypowego użycia.

W tym pierwszym wystąpieniu z małej litery pisane jest w znaczeniu "draft of the power of attorney", a samo upoważnienie już dalej z wielkiej litery. W tym drugim zdaniu - raczej tak jak sugerował Andrzej.

IMO autor chce mieć pewność, że ujął wszystkie możliwe opcje: i pełne określenie, i skrót. W tłumaczeniu ja bym nie powtarzał. Możesz dopytać autora, dlaczego napisał, co napisał.
