In this respect, the managers of the Company confirm that they have carefully reviewed
the drafts (i) of the resolutions to be taken at the Extraordinary General Meeting, (ii) of the
Set-Off Agreement and (iii) of the power of attorney to be executed by the Company in
connection with the Power of Attorney (the “POA”) which were provided to them.

It was proposed to approve the Extraordinary General Meeting, the Increase of share
Capital, the New Shares, the Subscription, the Subscription Price, the Contribution, the
Set-Off, the Set-Off Agreement, the Annex, the POA and the Power of Attorney.

-any manager of the Company be and hereby is individually to execute the Set Off Agreement, the Annex and the POA in the name and on behalf of the Company
