English to Portuguese Law/Patents Law: Contract(s)

Following receipt of the Notice, XXX GmbH, alone or together with the other Limited Partners, may exercise as an option in the manner provided in subsection 8 to purchase all, but not less than all, of the Offered Partnership Interest at the price and on the terms specified in the Notice. If the price offered by any third party purchaser includes any non-cash property, the price to be paid by the Non-Offering Partners shall be cash equal to the sum of the items, plus the appraised value of the non-cash property offered as payment.
