English to Polish Law/Patents Law: Patents, Trademarks, Copyright

Z umowy licencyjnej:

1. The XXX is an international charity.

2. XXXAAA is the wholly owned trading subsidiary of the XXX.

3. The XXX is the owner of the Intellectual Property.

4. With effect from the Commencement Date, the XXX has authorised XXXAAA to use and to grant Sub-Licenses to use the intellectual Property in accordance with the Regulations and Guidelines and the terms and conditions of this Agreement under a non-exclusive licence.

7. All royalty payments made by XXXAAA to XXX under this Agreement are intended to represent amounts determined and payable on an arm’s length basis in accordance with the Transfer Pricing Policy. The Transfer Pricing Policy may change over time, in order to reflect changing business conditions and as such, the Parties intend to review the terms of this Agreement at regular intervals to ensure that these contractual arrangements fully reflect and are in accordance with the Transfer Pricing Policy.
