Dutch term
"wilsrecht"
Dutch to English
Bus/Financial
Law: Contract(s)
articles of incorporation
"De Vennootschap kan geen Vergaderrecht en/of *wilsrechten* uitoefenen verbonden aan Aandelen gehouden door de Vennootschap zelf."
This sentence is found in a section on 'acquisition and disposal of stocks by the company' in an amendment to articles of incorporation. Van den End gives 'optional right' (in the singular no less) for this, but does anyone have another resource to confirm this solution or propose a better one?

right of will
In our opinion, the option is to be analysed as a power, a right of will (wilsrecht) combined with an obligation not to sell the property on which the option is given to a third party during the time for which the option is given.

Dutch Legal Terminology in English (Tony Foster):
wilsrechten = volitional interests
‘To ensure that the children’s rights under the new law are not eroded, Book 4 of the Civil Code allows for so-called volitional interests [wilsrechten]. The children may claim their share immedieately if the surviving spouse remarries. Depending on the circumstances, they can claim bare ownership [bloot eigendom(srechten)] (e.g. in the form of usufruct) or full ownership [volle eigendom(srecht)].’

Nederlandse Rechtsbegrippen Vertaald (J.H.M. van Erp):
wilsrecht (erfrecht) = discretionary right, droit discrétionnaire, Wahlrecht (um Rechtsfolgen zu erzielen)
---------------------------------
Juridisch-Economisch Lexicon:
wilsrecht = optional right
de wilsrechten worden niet toegepast = the optional right is not exercised
---------------------------------

Note from asker:
Michael, I have opted for 'discretionary right' in light of the context, but can't give you the points this way. Could you please post this as an answer? |

: As the other terms usually refer to inheritance business, I would opt for discretionary rights, as these do crop up in conjunction with shareholders.

Thanks Kirsten, I think I would agree with that (although I think ‘optional right’ is also used).
