English to Polish Law/Patents Law: Contract(s)

Umowa dilerska sporządzona po angielsku przez niemiecką firmę. Paragraf 9, ustęp 1 umowy:

1. The Authorised Dealer shall pay the supplier a one time fee in the amount of xxx Euro as follows:
a).These xxx Euro are due upon signing this agreement and payable withing 14 days to the business account specified herein.
b). These xxx Euro will be offset with the second order.
c). the xxx Euro will be reimbursed if the products cannot be marketed in the sales territory for reasons which do not fall under the responsibility of the Authorised Dealer.

Czy tutaj w tym kontekście słowo "offset" oznacza że drugie zamówienie zostanie pomniejszone o tę kwotę xxx Euro?? Dziękuję za wszelkie sugestie
