Most Directors and Officers (D&O) liability and other similar claims-made liability policies contain a provision commonly referred to as “notice of circumstances”that, if used appropriately, affords the insured the right to provide its insurer with a notice of potential claims. When properly submitted, pursuant to the particular policy’s requirements, a notice of circumstances enables the insuredto lock in insurance coverage under the current policy for matters that may notripen into an actual claim for months or even years. Besides invoking theinsurance in the year it was purchased, providing such notice leaves any newly purchased policy unencumbered and available for future, unknown exposures. Many times the most difficult aspect of providing notice of circumstances isadequately describing the factual circumstances with sufficient specificity tomeet the policy’s requirements. To take full advantage of the insurance purchased, the insured must carefully draft the notice in a manner that assures the insurer accepts the notice. Failing to do so can result in a declination letter from the insurance carrier that can ultimately leave potentially expensive claims uncovered. A recent bankruptcy court decision illustrates the importance ofpreparing such notices with care, and affords an opportunity to review someissues to keep in mind when submitting a notice of circumstances.
