French to English Bus/Financial Finance (general) Subscription agreement (Convention de Souscription)
Les parties ont défini dans la présente convention de souscription des Parts Cédant et des Parts S ......
The only translation I've come up with is 'transferor shares' but I'm really not sure this is correct.

I think it's just the subscription to shares for sale by the subcriber/purchaser - however you want to phrase it. You can't subscribe to a transferor, but to the shares. I'd been wondering about the 'S'.....

shares remain shares. part "S" could well mean "suscription" shares. The "cedants" .. I have never heard of ceding ence the suggestion the transferor (or seller of the shares)
agree James Roberts : Without full context it's hard to say. Is the idea that some of the shares acquired are transferred from existing holders, and others are newly issued and subscribed for? "Transferor shares" seems to be used in some of the agreements that appear on Google

Thanks. That is the way I understood and understand it. Of course one can cede shares as a security ....
disagree AllegroTrans : I don't think it is one of the parties at all - it's a proportion of the shares themselves

One does not sell a proportion of shares, one sells a number of shares. This number might well be a proportion of the holding or of the total shares in issue.
