e) Recursos para manuseio. A xxxxxxx e a xxxx deverão providenciar e programar os recursos de pessoal e materiais para manuseio de cargas: empilhadeiras, guindastes e cavaletes motorizados, para atender todas as operações necessárias à instalação da unidade.
6.3.2 Balizamento das Coordenadas das Estacas Torpedo
A xxxxxxx e a xxxxxxx deverão executar o balizamento das coordenadas das estacas torpedo a ser feito por uma embarcação com ROV, utilizando o sistema LBL, pelo menos 15 dias antes do início da operação de pré-lançamento das linhas de ancoragem. Deverão ser lançados flutuadores de referência; de acordo com o desenho abaixo, para auxiliar na determinação das coordenadas das estacas torpedo definidas no projeto.
Após o término do balizamento de referência, deverá ser emitido um relatório informando as coordenadas de cada balizamento.

According to information from xxxxxx there is a possibility of a delay in delivering the material under their responsibility. The anchor chains of varying lengths and the polyester mooring cables and their respective tails are due for delivery on 15/06/10. 6.3.2 Position Buoys for the Torpedo Pilings.
xxxxxxxxx and xxxx are responsible for laying out the position buoys for the torpedo pilings, using a Remotely Operated Vehicle (ROV), and a Long Baseline Acoustic (LBL) Positioning System, at least 15 days prior to the start of pre-deployment of the mooring lines. They should also lay out marker buoys according to the below diagram, in order to assist in identifying the exact position for the torpedo pilings, as defined in the project.
Upon completion of laying out the marker buoys, a report should be issued informing the exact coordinates for each buoy.

O processo de produção de óleo a ser realizado na Área do Pólo Uruguá, Bacia de Santos, envolve uma unidade estacionária do tipo FPSO, denominada FPSO XXXXXXXXXX.
O óleo produzido é estocado na Unidade e periodicamente transferido para navios aliviadores, que farão o transporte para os terminais petrolíferos da XXXXXXX.
A Unidade Marítima tem a capacidade máxima de produção de óleo de aproximadamente 4.000 m³/dia.
II - IDENTIFICAÇÃO E AVALIAÇÃO DOS RISCOS
O FPSO XXXXXXXXXX não possuindo histórico de ocorrência de incidentes de poluição por óleo.
II.1 - IDENTIFICAÇÃO DOS RISCOS POR FONTE
II.2 - HIPÓTESES ACIDENTAIS
A partir da identificação das fontes potenciais listadas no item II.1 e da Análise Preliminar de Perigos – APP da instalação, são relacionadas e discutidas abaixo as hipóteses acidentais que resultam em vazamento de óleo para o mar.
Os cenários acidentais levantados no quadro II.2.1 ao quadro II.2.5 implicam na possibilidade de derramamento de óleo para o mar. Os volumes derramados foram calculados conforme a Resolução CONAMA N° 398, de 1 1 de junho de 2008. Vale ressaltar que o comportamento do óleo no mar será determinado pelas condições meteorológicas e oceanográficas existentes.
II.2.1 - Descarga de pior caso
Considerando o cenário de perda de poço devido à remoção da árvore de natal molhada e à falha da válvula de segurança (DHSV) do poço URG-O3, produziria, aproximadamente, 753 m3 por dia para o mar. Considera-se que vazamento não afetaria a integridade do FPSO, uma vez que este não está posicionado sobre os poços.
Comparando o volume de perda de controle do poço por 30 dias (22.590 m³) com o volume passível de vazamento devido ao afundamento do FPSO (125.676 m³, somente a parte relativa ao petróleo), adota-se como volume da Descarga de Pior Caso o relativo ao afundamento da unidade.
III - ANÁLISE DE VULNERABILIDADE
Para a análise da Vulnerabilidade Ambiental da Área do Pólo Uruguá foram considerados como critérios a sensibilidade para os fatores ambientais, que foi classificado em uma escala de Alta, Média e Baixa Sensibilidade. A escala de sensibilidade foi correlacionada com a probabilidade de alcance de óleo, obtida através de simulação probabilística de derrame de óleo, classificadas da seguinte forma: Baixa (0 a 30%); Média (30 a 70%) e Alta (70 a 100%) (Quadro III.1).
As informações referentes à sensibilidade ambiental na área afetada foram retiradas da Seção II.5 – Diagnóstico Ambiental do Estudo de Impacto Ambiental em atendimento ao processo de licenciamento ambiental do Sistema de Produção e Escoamento de Gás Natural e Petróleo no Pólo Uruguá, na Bacia de Santos, e as informações referentes à simulação de derrame de óleo foram obtidas a partir do Relatório de Modelagem do Transporte e Dispersão de Óleo no Mar para a Área do Pólo Uruguá (PROOCEANO, 2007), apresentado na seção II.6.1 desse estudo.
As simulações foram realizadas para um evento de vazamento com duração de 24 horas em cenários de verão e de inverno. Após as 24 horas de vazamento de óleo foram simulados mais 30 dias para que fosse observado o comportamento da deriva do óleo, totalizando desta forma 31 dias ou 744 horas de simulação.

The process of oil production within the Pólo Uruguá, Bacia de Santos Area, involves using an FPSO (Floating Storage Production Offloading) unit, named FPSO XXXXXXXXX
The oil produced is stored in the Unit and periodically transferred to feeder tankers, which transports the oil to the XXXXXXX oil terminal.

II.2 – ACCIDENT HIPOTHESIS
As a starting point for identifying potential sources listed in item II.1 and the unit’s Preliminary Hazard Analysis – PHA; hypothetical accidents that result in oil leaks into the sea, are explained and discussed below.
The various accident scenarios that are raised in plan II.2.1 to plan II.2.5 all imply the possibility of an oil spill into the sea. The amounts spilt were all calculated in accordance with CONAMA (National Council for the Environment) Resolution N° 398, June 11, 2008. It should be emphasized that the behavior pattern of the oil will be determined by the meteorological and the oceanographic conditions at the time of the accident.
Plan II.2-1 – Diesel/Lube oil spills.
II.2.1 – Discharge in worst case scenario
Considering the scenario of total well control loss due to dislocation of the sub-sea Christmas tree, as well as the failure of the down-hole safety valve (DHSV) of well URG-03, spilling approximately 753 m3 per day into the sea. It is considered that this spill does not affect the seaworthy integrity of the FPSO, as it is not positioned directly above the well-head.
Comparing the total volume lost through loss of well control, during a period of 30 days (22.590 m3), with that of a passive spill due to the sinking of the FPSO (125.676 m3, considering only that portion relative to petroleum), we can see that the Worst Case Scenario for an oil spill is in respect to the sinking of the unit.
III – VULNERABILITY ANALYSIS
To perform an Environmental Vulnerability Analysis of the Pólo Uruguá Area, the environmental sensitivity criteria factors had to be considered. These were classified on a scale of High, Medium and Low Sensitivity. The scale of sensitivity was correlated to the probability of oil spills, obtained by probability simulations for spills; classified in the following way: Low (0 to 30%); Medium (30 to 70%) and High (70 to 100%) (Plan III.1).
Information concerning the environmental sensitivity in the area affected was taken from Section II.5 – “Environmental Impact Study” - An Environmental Diagnosis; by observing the environmental licensing processes from the Natural Gas and Petroleum Production System for the Pólo Uruguá area, in the Bacia de Santos. The information concerning the simulation of oil spills was obtained from the Modality Report on Transport and Oil Dispersion at Sea, in the Pólo Uruguá Area (PROOCEANO, 2007), which is presented in Section II.6.1of this study.
The simulations were conducted assuming an oil spill lasting for 24 hours, in both summer and winter scenarios. Following the initial 24 hours, a further 30 day simulation was considered in order to study the behavior of the oil derivatives; totaling 31 days or 744 hours of simulation.

1. Promise to Pay. Whenever any payment falls due on a day which is not a Business Day, the due date for payment shall be extended to the next following Business Day.
All payments to be made by the Maker under this Note shall be made in United States Dollars in immediately available and freely transferable funds no later than 11:00 A.M. 4. Prepayments. The Maker may from time to time prepay on any Payment Date

5. Acceleration. Upon default in the prompt and full payment of any installment of

6. Waivers. The Maker hereby waives demand, diligence, presentment, protest
and notice of every kind, and warrants to the holder that all action and approvals required for the execution and delivery hereof as a legal, valid and binding obligation of the undersigned, enforceable in accordance with the terms hereof, have been duly taken and obtained. The failure of the holder hereof to exercise any of its rights hereunder in any instance shall not constitute a waiver thereof in that or any other instance.

Pagamentos e importâncias especificadas nessa Nota devem ter suas definições especificadas no parágrafo 7º, abaixo ou em cláusulas seguintes.
1. Compromisso de Pagamento. Para o valor recebido, XXXXXX (“Emissor - XXXX”) através desta nota (“A Nota”) declara comprometer-se, incondicionalmente, a pagar pela ordem do XXXXXXXXX ), com endereço na: XXXXX , o principal de US$1,960,196.56 (um milhão, novecentos e sessenta mil, cento e noventa e seis dólares americanos e cinqüenta e seis centavos), (ou quantia menor que será adiantada pelo Mutante ao Emissor - XXXX e comprovadas agora pelas condições anexas no Adendo I), em prestações/parcelas neste estipuladas, para pagamento dos juros a partir do saldo principal, aqui condicionado, à taxa de juros aplicável.
2. Alternativamente, a critério exclusivo do Credor e, mediante notificação formal e prévia ao Emissor - XXXX, o Credor pode optar por efetuar os pagamentos na República Federativa do Brasil, no local e endereço a ser indicado pelo Credor ao Emissor – XXXX na referida notificação.
3. Pagamentos.
A. Principal. O pagamento do Principal deve ser feito em dez (10) parcelas, com vencimentos a partir de ____ / ____ / ____. Cada parcela deve ser equivalente a 10% (dez por cento) da quantia a ser desembolsada, determinada nesta Nota; com a condição de que o Emissor - XXXX pagará e quitará qualquer saldo devedor da quantia principal no último vencimento dessas parcelas.
B. Juros. O pagamento dos juros nesta Nota deve ser efetuado na data de cada vencimento, começando em _______/_______/_______. O cálculo dos juros vai ser baseado em dias corridos (incluindo o primeiro dia e excluindo o último) durante o ano de 360 (trezentos e sessenta) dias.
C. Juros de Mora. Na eventualidade de qualquer porção do principal ou juros de mora não serem quitados integralmente na data do vencimento, o Emissor - XXXX pagará à vista, ao Credor, juros aplicáveis àquela porção não quitada (dentro das exigências da lei em vigor), abrangido o prazo desde o vencimento desse pagamento até a data do pagamento total. A taxa anual, dos juros aplicáveis será igual ao (x) 1.00% acima da taxa (Prime Rate) divulgado periodicamente pelo Credor.
Após o vencimento da demanda do XXXXX , na eventualidade de qualquer parcela do principal, ou juros acumulados devidos ao XXXX, não serem quitados em sua totalidade, até a data de vencimento do mesmo, o Emissor - XXXX pagará à vista, ao Credor, juros aplicáveis àquela parcela não quitada (dentro das exigências da lei em vigor), abrangido o prazo desde o vencimento de tal pagamento, até a data do pagamento total. A taxa anual dos juros aplicável será igual a 1% (um por cento) acima da Taxa estabelecida neste contrato (ou 1% acima dos juros aplicáveis).
D. Outros/Diversos. Todos os pagamentos (incluindo, sem limitações, os pagamentos antecipados), recebidos nesta Nota, devem ser tratados com prioridade formulada e determinada pelo o Credor.
Sempre que algum pagamento cair no dia não útil (bancário), este pagamento terá vencimento no próximo dia útil.
Todos os pagamentos vinculados a esta Nota, por conta do Emissor - XXXX, devem ser feitos em dólares americanos, disponíveis sem demora, livres para transferência imediata até 11:00 AM (horário de Nova Iorque), na data do vencimento, sem condições, descontos, reconvenções, limitações, imposto retido na fonte, aplicáveis por conta de quaisquer constrangimentos do Governo Brasileiro, etc.
4. Pré-pagamentos. O Emissor - XXXX pode, eventualmente, adiantar qualquer vencimento, total ou parcial da quantia principal desta Nota, contando que:
(a) Qualquer pagamento parcial deve ser, no mínimo, igual a uma parcela do principal, estipulado no item 2 acima ;
(b) O Emissor - XXXX notificará o Credor com o mínimo de dez (10) dias, acerca das intenções do pagamento antecipado (aviso este irrevogável); e
(c) O Emissor - XXXXdeve ter pago todos os valores e vencimentos anteriores, aplicáveis a título desta Nota, incluindo quaisquer juros vencidos até a data do montante antecipado.
5. Vencimentos Antecipados/Extraordinários. Acerca da falta ou do não cumprimento de pagamento total, ou de qualquer parcela/vencimento da quantia principal, ou juros sobre esta Nota, ou pendências de qualquer natureza financeira, esta Nota se tornará imediatamente vencida dentro da descrição e exigências do titular da mesma.
6. Abandono/Desistência. O Emissor - XXXX tem o direito de ser prévia e formalmente notificado, em virtude de quaisquer reclamações, exigências, diligências, protestos, cobranças, etc., para que o titular garanta qualquer procedimento e aprovação exigida para a execução e entrega desta, como um ato válido, legal e segurança obrigacional dos signatários, efetivamente de acordo com os termos desta Nota (na extensão da Lei vigente). A falta do titular desta em exercício dos seus direitos aqui descritos não constitui abandono ou desistência em quaisquer instâncias.
7. Custos. Dentro das exigências da Lei, o Emissor - XXXXconcorda em pagar todas as despesas e custos legais gerados pelo descumprimento desta Nota, incluindo e não limitado às despesas de sucumbência e honorários advocatícios.

Ladies and Gentlemen:
We are pleased to confirm thatXXX Bank, National Association ("XXX Bank"), in its sole discretion, may extend to XXXXXXXXXXXX(the "Borrower") a medium-term loan covered by an insurance policy to be issued by the Export-Import Bank of the United States ("Ex-Im Bank") to finance the purchase of a Linear Radio Therapeutic Accelerator Clinac 6EX and a BrainSCAN iplan m3 microMCL, conformal Radio Surgery System and other accessories (the "Equipment") upon the following terms and conditions:
Borrower: XXXXXXXXXXXXXX
Supplier: XXXX Medical Systems, Inc. and XXX and others as approved by XXXX Bank.
Amount: The total amount financed shall be up to U.S.$1,960,196.56 (the "Loan"), representing the sum of (i) U.S.$1,596,475.00 which is 85% of the Contract Price of the Equipment in the amount of U.S.$1,878,206.00 (the "Net Contract Price"), (ii) the local costs in the amount of U.S.$300,000 (the "Local Cost"), (the sum of the Net Contract Price, and the Local Cost equals the "Contract Price") and (iii) U.S.$63,721.56 which is the XXXX Bank insurance premium on the amount of the Contract Price financed.
XXX Bank Insurance: Repayment of the Loan by the Borrower shall be insured under Medium Term Policy MSM-438156 to be issued by XXXX Bank to XXX Bank (the "Policy"). XXX Bank shall make payment of the premium on the Policy to XXX Bank on behalf of the Borrower as part of the disbursements under the Loan.
Availability: The Loan shall be available during the period XXX Bank permits disbursements under the Policy, and at the sole discretion of XXX Bank.
Disbursement: Upon satisfactory completion of the conditions precedent for each disbursement of the Loan (each a "Disbursement and collectively, the "Disbursements"), XXX Bank, in its sole discretion, may
disburse (i) either to the Supplier, or to the Borrower as reimbursement for payment made to the Supplier, for the U.S. content of the Net Contract Price of the Equipment shipped by the Supplier to the Borrower not to exceed the sum of 85% of the portion of the Net Contract Price allocated to such shipment of the Equipment to the Borrower, (ii) to the Borrower the portion of the Local Cost allocated to such shipment of the Equipment to the Borrower (which portion of the Net Contract Price and Local Cost shall not be less than U.S. $350,000.00), and (iii) to XXX Bank an amount equal to 3.36% of the amount disbursed for the premium on the Policy relating to that portion of the Equipment.
Promissory Note: To evidence the Borrower's obligation to repay the Loan, the Borrower shall execute and deliver to PNC Bank one (1) promissory note (the "LIBOR Rate Note") substantially in the form of Exhibit A-1 attached hereto in the principal amount of U.S.$1,960,196.56 and one (1) promissory note (the "Fixed Rate Note") substantially in the form of Exhibit A-2 attached hereto in the principal amount of U.S.$1,960,196.56. The LIBOR Rate Note and Fixed Rate Note are each a "Note" hereunder. The Borrower authorizes XXX Bank to complete the Note by filling in the appropriate interest rate, dates and amounts. In the event of a conflict between the terms of the Note and the terms of this Letter Agreement, the terms contained in the Note shall take precedence.

20 years sea going experience, starting as a deck apprentice in The British Merchant Navy and ending up as captain with United Arab Shipping Co. During this time I obtained my master mariners foreign going certificate as well as a Bsc. in Nautical Science. Serving in a wide variety of trades, from passenger liners, to bulk carriers, container ships and tramp cargo vessels
PROFFESIONAL SHORE APPOINTMENTS
· 1981 – I spent one year at Hyundai Shipyard in Korea, as New Building Supt., for United Arab Shipping Co.
· 1982 – My company sent me to Brazil to assist in starting up a regular liner service between Brazil and Argentina to The Middle East. I was responsible for setting up port agencies, port operations, stevedoring contracts, ship repairers, victualling, and organizing a marketing network, to name but a few of my roles.
· 1990 – I spent two years in ship and cargo brokerage, based in Sao Paulo.
· 1991 – I was head hunted by a large Brazilian shipping agency, also based in Sao Paulo, to be the commercial manager for a large Japanese Shipping Company, responsible for overseeing, their reefer, container, bulk and car carrier services.
· 2001/2009 – Not so much by design but more through inheritance I became the joint owner and director of a large veterinary service in Itiam Bibi, Sao Paulo. Running a “microempresa” was interesting but a very steep learning curve for me, especially in the area of Labor Law.
GENERAL COMMENTS
It is my present intention to work with translations, to supply an efficient and timely service to a select client base, I have had many years experience of doing Portuguese/English translations, many legal, contractual and general financial requirements when I was working in shipping, as well as projects for port privatisation schemes and more recently I have done several translations for the legal representatives of a hospital and church network, (Financing and importation of technical equipment etc), as well as some technical translations for Dept of Health in Taubaté, SP,Brazil. This is in addition to a lot of technical projects on the Brazilian off-shore Oil & Gas industry (Technical, nautical, and environmental)

Sport is still very big on my list; I still play rugby regularly, as well as rowing, and squash.
My great love (or rather illness!) is restoring old cars; I have two Jaguar MK IIs in England.
