12.1 Definitions.
"Confidential Information" means information that by its nature is confidential, and which is disclosed by one party to the other, including but not limited to all data and information loaded into the System, any and all data and information concerning the Customer's clients, and any and all communications by or between the Customer and any of its clients. Confidential information will not include information that: (1) is or becomes generally known or available by publication, commercial use or otherwise through no fault of the receiving party (2) is known by the receiving party prior to the time of disclosure; (3) is independently developed or learned by the receiving party; (4) is lawfully obtained from a third party who has the right to make such disclosure without restrictions or (5) is released for publication by the disclosing party in writing. "Trade Secret' means a whole or any portion or phase of any scientific, technical or other information, design, process, procedure, proposal, methodology, business practice, formula or improvement that is valuable and not generally known to competitors of Customer or XXX as the case may be.
12.2 Duties. The parties acknowledge that, during the course of the performance of this Proposal, each party
may exchange or become aware of Confidential Information of the other. Each party agrees to avoid
unauthorized dissemination of the Confidential Information of the other that comes into its possession and to use such Confidential Information with the same degree of care that such party uses protect its own like information, but in no event less than reasonable care. Neither party will use the other's Confidential Information for purposes other than those necessary to directly further the purpose of this Proposal. Neither party will disclose to third parties the other's Confidential Information without the prior written consent of the disclosing party and then only subject to a written non-disclosure proposal satisfactory to the owner of the Confidential Information.

Isolate leaked material using non-flammable absorption agent (e,g. sand, earth, vermiculit, diatomaceous earth) and collect it for disposal in appropriate containers in accordance with the local regulations. Clean using cleansing agents. Do not use solvents.

Advices on safe handling
Avoid formation of flammable and explosive vapor concentrations in the air and exceeding the exposure limit values. Only use the material in places where open light, fire and other flammable sources can be kept away. Electrical equipment must be protected meeting the accepted Standard. Product may become electrostatically charged. Provide earthing of containers, equipment, pumps and ventilation facilities. Anti-static clothing including shoes are recommended. Floors must be electrically conductive. Keep away from heat sources, sparks and open flames. Use only spark proof tools. Avoid contact with skin, eyes and clothes. Do not inhale dusts, particulates and spray mist when using this preparation.

Source text - English The commitments and the participations of the Lender will be freely transferable and assignable following consultation with the Borrower, on the condition that all of the terms of the Facility are to be enforceable by any third party transferee other than public Turkish banks and Turkish financial institutions as well as transferees active in the same sector as the Borrower and the transferee agrees, in writing, to be bound by the provisions of the Finance Documents, and any other agreement entered into by and between the Parties by signing a deed of adherence which will be an Appendix of the Mezzanine Facility Loan Agreement (to be finalized in negotiations on the Facility Agreement).
If desired by the Borrower, a list of Parties can be added to whom the commitments and the participations of the Mezzanine Lender cannot be transferred or assigned.
All reasonable expenses (including, but not limited to legal fees, due diligence and management assessment costs, travel expenses costs) incurred in the negotiation and execution of the Documentation to be reimbursed by the Borrower or, except to the extent that this results from the gross negligence or willful default of XXX.
Following signing of the Mandate Letter, professional expenses of third party advisors will be continuously settled on a mutually agreed basis (such as bi-weekly payments in advance). Before commencing work on the project, the Lender shall provide the Borrower with estimates of the Reimbursable Expenses for legal, commercial and financial due diligence from each of the relevant third party providers. If the estimates are exceeded the Lenders shall stop the said work , notify the Borrower as promptly as reasonably practicable after it has been determined that such estimates have been exceeded and seek Borrower’s consent to continue with the work in accordance with a new estimate to be provided by the Lenders.
