The Existing Shareholders ("Corporate Guarantor(s)"), each separately and independent from each other (a/s Teilschuldner) and (if not expressly stated otherwise) pro rata to the Shares held by them at the Signing and Closing Dates to the overall share capital as set out in Preamble (C), but to the extent the following representations and warranties relate to Shares only with respect to the Shares held by the relevant Existing Shareholder hereby represent and warrant towards the New-lnvestors in the form of an independent guarantee (selbstständiges Garantieversprechen) within the meaning of sec. 311 para. 1 German Civil Code, Bürgerliches Gesetzbuch (8GB) that all of the statements contained in Annex 4.1 ("Corporate Guarantees"), are true and accurate as of the Closing Date.
