NOW, IN VIEW OF THE ABOVE THE PARTIES HAVE AGREED AS FOLLOWS
Article 1
The Recitals above are an integral and material part of this memorandum of understanding.
The Parties hereby acknowledge and agree that any eventual participation by the Y in X is not part of this memorandum of understanding and that it is matter that may be addressed separately.
Article 2
The Y and XI intend to define the main features of their cooperation by concluding a formal agreement (hereinafter referred to as the “Cooperation Agreement”). The Cooperation Agreement will specify the terms and conditions for the joint offer of products issued by X and distributed to the Italian market.
The Y undertakes to review with X their product needs and identify together the features of new product and/or services that will be the basis for a Cooperation Agreement. Both Parties agree to initiate the above process not later than 31 October 2006 and conclude discussions on a Cooperation Agreement not later than 30 April 2006
Article 3
The Parties hereby state that the Cooperation Agreement regulating the relationship between X and the Ywith respect to the activities that are the subject of this memorandum will have an initial validity period of five years and may be extended by an agreement of the Parties. The continuity of the Cooperation Agreement may also be subject to the realization of minimum business targets to be agreed between the Parties.
Article 4
Subject to the actual terms of the Cooperation Agreement, the Parties hereby agree in principle that the activities that will fall within their respective competences are as described below.

Article 5
The parties hereby agree that the Cooperation Agreement will include all financial and economic effects for each of the Parties with regard to the services provided.
- X will support the entire cost of providing the organizational structures and investments necessary to establish and carry-out its activities and will be the beneficiary of the proceeds resulting from the sale and use of the products, which are the subject of the Cooperation Agreement.
Y will not be required to pay X for any of the services provided by X in support of the products distributed by X.

Articolo 1
I Preamboli di cui sopra costituiscono parte materiale ed integrante di questo memorandum d’intesa
I contraenti riconoscono e concordano che ogni eventuale partecipazione di Y in X non costituisce materia di questo memorandum d’intesa, ma andrà considerata separatamente.
Articolo 2
Y e XI intendono delineare le principali caratteristiche della loro collaborazione mediante la stipula di un accordo formale (da qui in avanti definito come “Accordo di cooperazione”). In tale accordo saranno indicati termini e condizioni dell’offerta congiunta di prodotti di X da distribuire sul mercato italiano.
La Y si impegna ad esaminare assieme a X i propri bisogni per identificare congiuntamente le caratteristiche di un nuovo prodotto e/o di servizi che costituiranno la base di un Accordo di Cooperazione. Entrambe i Contraenti concordano di avviare il summenzionato processo entro il 31 ottobre 2006 e di concludere ogni discussione sull’Accordo di Cooperazione entro e non oltre il 30 aprile 2006.
Articolo 3
I contraenti dichiarano che l’Accordo di Cooperazione che regola il rapporto tra X e la Y limitatamente alle attività oggetto di questo memorandum avrà una durata iniziale di cinque anni, e potrà essere esteso solo per comune accordo delle parti. La continuità dell’Accordo di Cooperazione dipenderà anche dalla realizzazione degli obiettivi minimi di budget da concordare tra le parti.
Articolo 4
In base ai termini attuali dell’accordo di cooperazione, i contraenti qui concordano in linea di principio le attività che rientrano nelle rispettivi aree di competenza come segue:

Articolo 5
I contraenti concordano sul fatto che l’accordo di cooperazione includerà tutti gli effetti economici e finanziari per ognuna delle parti in base ai servizi forniti:
- X si farà carico dell’intero costo delle strutture organizzative e degli investimenti necessari per instaurare e condurre le proprie attività e beneficerà dei ricavi risultanti dalla vendita e dall’utilizzo dei prodotti soggetti all’Accordo di Cooperazione.
- Y non dovrà nulla a X per i servizi da questo forniti a supporto dei prodotti distribuiti da X.
