English to Russian Law/Patents Law: Contract(s)

At or prior to the Closing, Buyer shall purchase a prepaid insurance policy through the Company’s current insurance carrier, or an insurance carrier with the same or better credit rating as the Company’s current insurance carrier, with respect to directors’ and officers’ liability insurance (the “Tail Coverage”), insuring the Company, each of its Subsidiaries and each individual that is currently insured under the Company’s and each of its Subsidiaries’ existing directors and officers and fiduciary and employment practices liability coverage (the “Current Management Insurance”) on terms and conditions no less favorable than those provided by or contained in the Current Management Insurance.
